Terms of Service

Line Host Operations LLC ("LineHost" or "Provider") — AI Voice Agent Services

Last Updated: September 21, 2026

These Terms of Service ("Terms") describe the general terms under which Line Host Operations LLC ("LineHost" or "Provider") offers AI voice agent services to business clients ("Client"). Specific pricing, the Effective Date, and the Go-Live Date for a particular Client are set out in that Client's signed Service Agreement, which incorporates these Terms by reference.

As used throughout, "Agreement" means these Terms together with the Client's signed Service Agreement, which together form the entire agreement between the parties. These Terms alone do not create a binding contract between Provider and any reader; a binding agreement is formed only when a Client signs a Service Agreement. In the event of a conflict between these Terms and a Client's signed Service Agreement, the signed Service Agreement controls.

Provider may update these Terms from time to time. Material changes affecting an active Client will be communicated to that Client in writing under Section 20, and will take effect at the start of that Client's next billing cycle following notice.

1. Services Provided

Provider agrees to deliver AI voice agent services ("Services") that may include answering inbound calls, responding to customer inquiries, booking appointments or reservations, routing calls, and other automated communication functions based on Client-defined configurations (business hours, menu or service details, FAQs, and booking links).

Provider will configure the AI voice agent using information supplied by Client, make the configuration available for Client's review and approval before the Services go live, and maintain the agent in operating condition for the duration of this Agreement, including reasonable updates to the agent's configuration at Client's request.

2. Call Forwarding & Setup

The Services operate by Client forwarding calls from Client's existing business telephone number to a number designated by Provider. Client authorizes Provider to receive and handle calls forwarded in this manner and is responsible for configuring call forwarding with Client's own telephone carrier. Client represents that it has the authority to direct calls to its business number in this way. Provider does not take ownership of, port, or otherwise assume control of Client's telephone number. Client may discontinue call forwarding at any time; however, discontinuing call forwarding does not by itself cancel this Agreement or stop billing. To cancel, Client must provide written notice under Section 4.

3. Dashboard Access & Booking Records

As part of the Services, Provider maintains a dashboard, built and operated on Provider's own infrastructure, through which Client can view incoming pickup orders and reservations taken by the AI voice agent. Reservations are captured using a third-party scheduling platform that Provider administers on Client's behalf; pickup orders are recorded directly in Provider's own systems. Both appear together on Client's dashboard.

Provider issues dashboard login credentials to Client and Client's designated staff. Client is responsible for safeguarding those credentials, for limiting access to authorized personnel, and for any actions taken under those credentials within the dashboard, including confirming, rejecting, or marking orders as picked up. Provider is not responsible for orders or reservations lost, altered, or missed as a result of actions taken by Client or Client's staff within the dashboard.

4. Term & Cancellation

This Agreement operates on a month-to-month basis unless otherwise specified in writing. Client may cancel at any time by written notice to Provider. Provider may terminate this Agreement for any reason on thirty (30) days' written notice to Client. Either party may terminate immediately upon a material breach by the other party that remains uncured for ten (10) business days after written notice of the breach.

Service will remain active through the end of the current billing cycle. No partial refunds will be issued for the remainder of a billing cycle already in progress, unless otherwise agreed in writing, except that if Client terminates this Agreement due to Provider's uncured material breach, Provider will refund the full amount paid by Client for the current billing cycle. Upon termination, Provider will cease handling calls and Client is responsible for disabling call forwarding to Provider's designated number.

If Provider materially changes these Terms in a way that affects Client, Client may terminate this Agreement immediately upon written notice, without penalty.

Upon termination, Provider will, on written request made within ninety (90) days of the termination date, provide Client with a full export of all order and reservation records associated with Client's account. After that 90-day period, if no request has been made, Provider may delete this data from its systems.

5. Fees & Payment

Client agrees to pay the monthly fee specified in Client's signed Service Agreement or order form for the Services, billed in advance on a recurring monthly basis via the payment method on file, processed through Provider's designated payment processor. The monthly fee is based on Client's selected pricing tier, determined by call volume and disclosed to Client prior to signing. Fees are exclusive of any applicable sales, use, or similar taxes, which are Client's responsibility.

Billing begins on the Go-Live Date — the date the AI voice agent first begins answering calls for Client — and each subsequent billing cycle begins on the same day of each following month. Time spent configuring the agent before go-live is not billable. The Go-Live Date is recorded in Client's signed Service Agreement once the agent is live.

The monthly fee is based on the pricing tier selected at signing. If Client's actual monthly call volume exceeds the upper bound of that tier for two (2) consecutive months, Client will be moved to the next applicable tier, billed at that tier's rate starting the following billing cycle. If Client's volume exceeds the highest defined tier, pricing will be established by mutual written agreement.

If a payment fails, Provider will notify Client and allow a five (5) business day grace period to resolve payment before Service is suspended. Continued non-payment beyond fifteen (15) days may result in termination of this Agreement.

6. Client Responsibilities

Client must provide accurate, complete, and up-to-date business information, including but not limited to operating hours, menu or service details, booking links, FAQs, routing rules, and any integrations required for the Services to function correctly. Provider is not responsible for errors, missed calls, incorrect bookings, or miscommunication resulting from inaccurate, incomplete, or outdated information supplied by Client. Client agrees to review and approve the configuration of their AI voice agent prior to the Services going live.

Client is responsible for reviewing incoming orders and reservations shown on the dashboard on a regular basis, and for honoring, fulfilling, or otherwise acting on them. Provider's role is limited to answering calls and recording orders and reservations as configured; Provider is not responsible for orders or reservations that Client fails to review, staff, or fulfill.

7. Service Limitations

Provider is not liable for disruptions, downtime, or performance issues caused by third-party services including but not limited to phone carriers, internet providers, CRM systems, booking platforms, hosting providers, or underlying AI model or voice infrastructure vendors. Service availability may be impacted by factors outside Provider's control.

8. No Guarantee of Revenue

Provider does not guarantee specific business results, revenue increases, lead conversion rates, or operational outcomes. The AI voice agent is a tool intended to support Client's business operations and does not replace Client's own oversight of bookings, orders, or customer communications.

9. Call Recording, Transcription & Data Privacy

Client acknowledges and agrees that calls handled by the Services are processed by AI voice technology that transcribes call audio in real time in order to function. At the start of every call, without exception and regardless of whether the caller asks, Provider's AI voice agent will proactively disclose that the caller is speaking with an AI assistant and that the call may be recorded and/or transcribed for quality and operational purposes. This automatic, unprompted disclosure is designed to satisfy applicable call recording consent laws, including California Penal Code Section 632, as well as applicable automated-communication disclosure requirements.

Call data (including transcripts and, where applicable, recordings) is retained according to Provider's data retention configuration and is stored securely by Provider's underlying technology vendors. Provider will not sell Client's or Client's customers' call data to third parties. Provider does not use call data, transcripts, or Client business information to train, fine-tune, or otherwise develop AI models. Client is responsible for ensuring its own use of any call data or transcripts provided to Client complies with applicable law in Client's jurisdiction. Provider's handling of information collected through the Services is further described in Provider's Privacy Policy, available at https://linehostoperations.com/privacy.

10. Intellectual Property

Provider retains all right, title, and interest in and to the underlying AI voice agent technology, call-flow templates, prompts, and related software developed or used by Provider in delivering the Services. Client retains all right, title, and interest in Client's own business data, including customer information, menu or service details, and business-specific configurations supplied to Provider. Nothing in this Agreement transfers ownership of Provider's underlying technology to Client.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Provider does not warrant that the Services will be uninterrupted, error-free, or that all calls will be handled without any error.

12. Limitation of Liability

To the maximum extent permitted by law, Provider's total liability under this Agreement shall not exceed the amount paid by Client in the preceding thirty (30) days. Provider shall not be liable for indirect, incidental, special, or consequential damages, including lost profits or lost business opportunities, arising from use of the Services.

Nothing in this Section limits liability for gross negligence, willful misconduct, or fraud, or for any other liability that cannot be limited or excluded under applicable law.

13. Confidentiality

Each party agrees to keep confidential any non-public business information disclosed by the other party in connection with this Agreement, including but not limited to menu and pricing details, customer information, call data, and business operations details, and to use such information solely for purposes of performing under this Agreement. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, or that is required to be disclosed by law. Either party may disclose the other party's confidential information to its employees, contractors, service providers, and professional advisors who have a need to know it for purposes of this Agreement and who are bound by confidentiality obligations at least as protective as those in this Section.

14. Indemnification

Client agrees to indemnify and hold Provider harmless from any claims, damages, or losses arising from inaccurate, incomplete, or outdated business information supplied by Client under Section 6, or from Client's misuse of the Services.

15. Support

Provider will offer support through designated communication channels (email or phone). Provider will respond to support requests within one (1) business day, and will make reasonable efforts to respond the same day if the AI voice agent is fully unavailable.

16. Governing Law & Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in California.

17. Severability

If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement shall remain in full force and effect.

18. Entire Agreement

These Terms, together with Client's signed Service Agreement, constitute the entire agreement between Client and Provider regarding the Services and supersede any prior or contemporaneous oral or written representations, discussions, or agreements. Except for updates to these Terms made under the introductory section above, any modification to the Agreement must be made in writing and signed by both parties.

19. Assignment

Client may not assign or transfer this Agreement, in whole or in part, without Provider's prior written consent. Provider may assign this Agreement, including in connection with a sale, merger, or restructuring of its business, without Client's consent.

20. Notices

All notices required under this Agreement, including notice of cancellation, shall be delivered in writing via email to the email address provided by each party at the time of signing this Agreement (or such other email address as a party may designate in writing), and shall be deemed received on the date sent, absent evidence of delivery failure.

21. Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations under this Agreement to the extent such delay or failure is caused by circumstances beyond that party's reasonable control, including natural disasters, acts of government, internet or telecommunications infrastructure failures, or other events of force majeure.

22. Survival

Sections 9 (Call Recording, Transcription & Data Privacy), 10 (Intellectual Property), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Confidentiality), 14 (Indemnification), 16 (Governing Law & Venue), 17 (Severability), and this Section shall survive the expiration or termination of this Agreement, along with any accrued payment obligations.

23. Authority & Electronic Signature

Each person signing a Service Agreement represents that they are authorized to enter into the Agreement on behalf of the party they represent. A Service Agreement may be executed electronically and in counterparts, each of which shall be deemed an original, and together shall constitute one and the same agreement. Electronic signatures and scanned or transmitted copies shall have the same legal effect as original signatures.
